1. Agreement to Terms
These Terms of Use govern your access to and use of Agent Lens, a website service that scans a business website and evaluates how easily AI assistants and AI-powered search and recommendation systems can find, understand, and recommend that business. By accessing or using Agent Lens, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the service.
2. Our Services
Agent Lens provides a free site grade, paid reports, a self-install fix kit, and optional ongoing monitoring. The service is informational and diagnostic in nature. We do not guarantee improved rankings, visibility, lead volume, revenue, or recommendation frequency from any AI assistant, search engine, model provider, marketplace, or third-party platform.
3. Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use the service. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4. Customer Content and Site Access
You represent that you have the right to submit a website URL, business information, and any related materials you provide to Agent Lens. You grant us a limited, non-exclusive right to access, scan, process, analyze, and store information reasonably necessary to provide the service, generate reports, operate monitoring features, improve system reliability, and enforce these Terms.
5. Acceptable Use
You may not use Agent Lens to violate any law, infringe another party’s rights, interfere with the operation of the service, attempt unauthorized access, reverse engineer non-public parts of the platform, or submit malicious code, deceptive content, or URLs you are not authorized to analyze. We may suspend or terminate access for misuse, abuse, fraud, or security concerns.
6. Fees and Payments
Some features are free and others require payment. By purchasing a paid report, fix kit, monitoring plan, or any other paid offering, you agree to pay the fees presented at checkout. Unless otherwise stated, fees are non-refundable except where required by law. Subscription services, if offered, renew according to the billing terms shown at purchase until canceled.
7. Intellectual Property
Agent Lens, including its software, scoring methods, workflows, page design, branding, reports, templates, and related materials, is owned by us or our licensors and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-transferable right to use the service for your internal business purposes.
8. Reports, Scores, and No Professional Advice
Grades, scores, recommendations, findings, and reports are generated from automated analysis and may rely on third-party data, crawler behavior, model behavior, and assumptions that can change over time. They are provided for general informational purposes only and do not constitute legal, tax, accounting, investment, or other professional advice. You are responsible for evaluating whether and how to implement any recommendation.
9. Third-Party Services
The service may reference or depend on third-party websites, hosting providers, analytics services, payment processors, AI systems, search systems, or browser technologies. We are not responsible for third-party services, content, uptime, policy changes, or outcomes caused by systems outside our control.
10. Disclaimers
Agent Lens is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the service will be uninterrupted, error-free, secure, or that any recommendation will produce a particular result.
11. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings arising out of or related to your use of the service. Our aggregate liability for all claims relating to the service will not exceed the greater of the amount you paid us in the 12 months before the event giving rise to the claim or $100.
12. Indemnification
You agree to defend, indemnify, and hold harmless Agent Lens and its affiliates, officers, employees, and contractors from and against claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of your use of the service, your content, your violation of these Terms, or your violation of any law or third-party right.
13. Dispute Resolution
Before filing a formal claim, you and Agent Lens agree to first attempt to resolve any dispute informally by written notice and good-faith negotiation for at least 30 days. If the dispute is not resolved, it will be resolved by binding arbitration on an individual basis, except that either party may bring an eligible claim in small claims court. You waive any right to participate in a class action or class-wide arbitration to the extent permitted by law.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles, except to the extent superseded by applicable federal law. The arbitration and small claims provisions above control where disputes are heard.
15. Termination
We may suspend or terminate your access to Agent Lens at any time if we believe you have violated these Terms, created risk for the platform, or used the service in a fraudulent, abusive, or unlawful manner. You may stop using the service at any time. Provisions that by their nature should survive termination will survive.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may post the revised version on the website and update the “Last updated” date. Your continued use of the service after the updated Terms take effect constitutes acceptance of the revised Terms.
